1. Introduction

Welcome to Cortexia. This Expert Terms & Conditions Agreement ("Agreement") outlines the terms under which subject-matter experts ("Experts" or "you") engage with Cortexia ("we," "us," or "our") to provide consulting services to our clients ("Clients"). By participating in our network, you agree to comply with these terms.

2. Engagement Overview

Services Provided: As an Expert, you will offer insights and expertise through various formats, including consultations, surveys, and reports, as requested by our Clients.
Independent Contractor Status: Your participation is as an independent contractor. This Agreement does not establish an employer-employee relationship, partnership, or joint venture between you and Cortexia.

3. Expert Representations and Warranties

By joining our network, you affirm that:

Accurate Information: All biographical and professional information you provide is truthful and up-to-date.
No Conflicts of Interest: Your participation does not violate any agreements or obligations, including those with current or former employers.
Confidentiality Compliance: You will not disclose proprietary or confidential information from any third party during your engagements.
Legal Eligibility: You are not restricted by any laws or regulations from providing the proposed services.

4. Confidentiality

Definition: "Confidential Information" includes all non-public information disclosed during your engagement, whether from Cortexia, our Clients, or other sources.
Obligations: You agree to:
- Use Confidential Information solely for the intended consulting purposes.
- Refrain from disclosing Confidential Information to unauthorized parties.
- Implement reasonable measures to protect the confidentiality of such information.

5. Compliance and Ethical Standards

Insider Trading: You must not share or act upon material non-public information obtained through Cortexia.
Third-Party Obligations: Ensure your participation does not breach any existing contracts or duties to third parties.
Legal Compliance: Adhere to all applicable laws and regulations during your engagements.

6. Compensation

Payment Terms: Compensation details, including rates and payment schedules, will be outlined in individual engagement agreements.
Invoicing: Submit invoices promptly upon completion of services, as per the guidelines provided by Cortexia.

7. Termination

At-Will Participation: Either party may terminate this Agreement or any specific engagement at any time, with or without cause, by providing written notice.
Post-Termination Obligations: Upon termination, you must return or destroy all Confidential Information and cease representing yourself as associated with Cortexia.

8. Intellectual Property

Ownership: Any work products or deliverables created during your engagement are the exclusive property of the Client, unless otherwise specified.
License: You grant Cortexia and the Client a perpetual, worldwide, royalty-free license to use any materials you provide in connection with your services.

9. Indemnification

You agree to indemnify and hold harmless Cortexia and its affiliates from any claims, losses, or damages arising from your breach of this Agreement or any negligent or wrongful acts during your engagement.

10. Miscellaneous

Governing Law: This Agreement is governed by the laws of [Your Jurisdiction], without regard to its conflict of law principles.
Entire Agreement: This document constitutes the entire agreement between the parties concerning its subject matter and supersedes all prior agreements or understandings.
Amendments: Cortexia reserves the right to modify this Agreement. Any changes will be communicated to you, and continued participation signifies acceptance of the updated terms.

By participating as an Expert with Cortexia, you acknowledge that you have read, understood, and agree to abide by these Terms & Conditions.
